Item 1.01 Entry into a Material Definitive Agreement.

On December 12, 2005, the Compensation Committee of the Board of Directors of General Mills, Inc. (the “Company”) approved a new schedule of annual retainers for non-employee directors, as follows:
  $75,000 annual retainer for each non-employee director
  $15,000 annual retainer for the chair of the Audit Committee
  $10,000 annual retainer for the chairs of the Compensation Committee, Corporate Governance Committee, Finance Committee and Public Responsibility Committee
  $5,000 annual retainer for each member (excluding the chair) of the Audit Committee

Retainers can be paid quarterly in cash, paid quarterly in Company stock, or deferred quarterly into a variety of book-entry investment funds, including a Company stock fund.
