THE FIRST AGREEMENT IS A NON-STATUTORY STOCK OPTION AGREEMENT WHICH GRANTS THE REPORTING PERSON OPTIONS TO PURCHASE 20,616 SHARES OF THE COMPANY'S COMMON STOCK AT $30.34 PER SHARE. THE SECOND AGREEMENT IS A NON-STATUTORY STOCK OPTION AGREEMENT WHICH GRANTS THE REPORTING PERSON OPTIONS TO PURCHASE 33,384 SHARES OF THE COMPANY'S COMMON STOCK AT $34.57 PER SHARE.
