Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 15, 2008, the Compensation Committee of the Board of Directors (the “Committee”) of Artes Medical, Inc. (the “Company”) appointed Michael K. Green as Chief Operating Officer and Chief Financial Officer. The Committee set Mr. Green’s annual salary at $360,000. Mr. Green is eligible to receive a performance-based cash bonus award equal to up to 50% of his base salary. The actual bonus award Mr. Green receives will be prorated based on his service during fiscal 2008 and will be based on two equally weighted performance measures: (i) the Company’s success in achieving its corporate goals for fiscal year 2008, which were previously approved by the Committee and (ii) the individual goals set for Mr. Green by the Company’s Executive Chairman.
