Item 8.01 Other Events.

  
     On March 30, 2005, MetLife, Inc., a Delaware corporation, issued a press
release announcing the termination of the 30-day waiting period under the
Hart-Scott-Rodino Antitrust Improvements Act of 1976 with respect to MetLife's
proposed acquisition of Citigroup Inc.'s Travelers Life & Annuity, and
substantially all of Citigroup's international insurance businesses. A copy of
the press release is attached hereto as Exhibit 99.1 and is incorporated
herein by reference.
