Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 27, 2009, the Board of Directors of Novavax, Inc. (the “Company”) determined that the roles of principal financial officer and principal accounting officer should be held by one individual. Accordingly, Evdoxia E. Kopsidas was relieved of her duties as principal accounting officer, and Frederick W. Driscoll, the Company’s Vice President, Chief Financial Officer and Treasurer, was appointed the Company’s principal accounting officer, effective immediately.
