Item 1.01. Entry into a Material Definitive Agreement

     On January 30, 2006, the Compensation Committee of the Board of Directors of American Axle & Manufacturing Holdings, Inc. (the Company) approved the annual base salaries of the following executive officers after a review of Company and individual performance: Yogen N. Rahangdale, President & Chief Operating Officer, $322,400, and David C. Dauch, Executive Vice President — Commercial & Strategic Development, $286,000. The salaries will become effective October 1, 2006.
