Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
Effective as of October 2, 2007, Robert T. Slezak, one of the three directors designated by
the Ricketts shareholders under the terms of the stockholders agreement among TD AMERITRADE, The
Toronto-Dominion Bank and the Ricketts shareholders, resigned from the board of directors. On
October 2, 2007, J. Peter Ricketts, a designee of the Ricketts shareholders and former chief
operating officer of TD AMERITRADE, was elected to the board of directors. Mr. J. Peter Ricketts
will serve on the Non-TD Directors Committee. Wilbur J. Prezzano will rejoin the audit committee
in place of Mr. Slezak.
