(b) On December 5, 2005, Michael El-Hillow announced his resignation as Executive Vice President
and Chief Financial Officer of Advanced Energy Industries, Inc. (the “Company”), effective December
30, 2005.
The
Company issued a press release to announce Mr. El-Hillow’s
resignation. A copy of the press release is
attached to this Form 8-K as Exhibit 99.1.
