Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangement of Certain Officers.
On November 17, 2008, the Board of Directors (Board) of SurModics, Inc. (the Company)
elected Mary K. Brainerd as a member of the Board of the Company. Ms. Brainerd will join the board
effective as of February 2, 2009, and will be a Class III director of the Company with a term
expiring in 2011. Ms. Brainerd serves as the President and Chief Executive Officer of
HealthPartners, Inc., a not-for-profit health plan organization headquartered in
Minneapolis, Minnesota. At this time, the Board has not designated the committees upon which Ms.
Brainerd will serve. Upon commencement of Ms. Brainerds term, she will receive compensation in
accordance with the Companys Board Compensation Policy.
