The Company was unable to obtain the information necessary to complete the 
preparation of the Company's financial statements for the three months ended 
December 31, 2004 in time for filing.  Such information is required in order to 
prepare a complete filing.  As a result of this delay, the Company is unable to 
file its quarterly report on Form 10-Q within the prescribed time period 
without unreasonable effort or expense.  The Company will file the Form 10-Q 
within the extension period.

         We will report revenues for the three months ended December 31, 2004
         that are approximately 85% higher than in the same period ended
         December 31, 2003.  Revenues from our new subsidiary, Bruce
         Technologies, Inc., contributed to approximately 44% of the increase.
         As a result of the increased sales, we will also report income before
         income taxes for the three months ended December 31, 2004 that is
         approximately 219% higher than in the same period ended December 31,
