What Happened?

Shares of egg and butter company Vital Farms (NASDAQ: VITL) fell 9% in the afternoon session after Axios reported on Sept. 16 that Vital Farms is weighing strategic alternatives, including a take-private. Axios said the market value had fallen more than 80%, from a $2.3 billion peak last September to about $430 million, or around $10 a share. Wednesday’s price is back at that level. Vital Farms has not announced a review or a buyer. The earlier rally was the market paying for the Axios report. Wednesday’s decline prices that report back out. A company statement, or a signed deal, is what would settle the shares.

The shares closed the day at $10.26, down 8.8% from the previous close.

What Is The Market Telling Us

Vital Farms’s shares are extremely volatile and have had 38 moves greater than 5% over the last year. In that context, today’s move indicates the market considers this news meaningful but not something that would fundamentally change its perception of the business.

The previous big move we wrote about was 6 days ago when the stock gained 8.3% on the news that Axios reported that the company is weighing strategic alternatives, including a potential take-private transaction. According to Axios, the pasture-raised egg producer’s market capitalization has fallen more than 80% from a roughly $2.3 billion peak to about $430 million, or around $10 per share. Following the report, StoneX analyst Ben Klieve reiterated a Buy rating and an $18 price target, noting that the strategic options under discussion include a potential acquisition with a targeted valuation range of $15 to $25 per share, according to StreetInsider. Takeover speculation often lifts shares when a named outlet floats a premium to the public market price, especially after a steep drawdown.

Vital Farms is down 65.8% since the beginning of the year, and at $10.19 per share, it is trading 77.2% below its 52-week high of $44.61 from October 2025. Investors who bought $1,000 worth of Vital Farms’s shares 5 years ago would now be looking at only $567.78.
