Shareholder Update as Company Focuses on iDoc TeleHealth Solutions for Revenue Growth and Profitability

On July 9th VSEE issued a letter from Chairman and Chief Executive Officer Dr. Imoigele Aisiku providing an update on the Company's strategic transformation and outlook.

Included in the letter was the following commentary:

VSEE focus on iDoc TeleHealth Solutions has led to dramatic expansion from just 3 hospitals, three years ago, to currently 58. This dramatic ramp of 20-fold has led to a significant +80% growth in revenue in 2025 to $11.4 million. This growth in the VSEE hospital network has been driven by expanding Integrated Delivery Network relationships and multi-year deployments.

Following the recent divestiture of laboratory operations, VSEE concentrated its resources on expanding iDoc and serving hospitals and healthcare systems across the country. Strategic actions have simplified VSEE organization, reduced operating costs and strengthened our ability to focus on our highest-value operating business.

2026 Outlook:

Based on current operating plans and internal expectations, VSEE management anticipates that the iDoc TeleHealth business can achieve profitability over the next 12 months.

Management believes the VSEE current market valuation does not fully reflect the progress achieved through the transformation of its business, including operational focus, customer growth, margin profile and strategic positioning.

Recent Strategic Sale for Refocus on Telehealth and Digital Health Solutions

On June 22nd VSEE provided an update on its business operations and financial success following its strategic sale of VSee Lab on May 31, 2026.

Pro-forma financials from enhanced focus on iDoc telehealth platform and enterprise healthcare solutions:

+60% revenue growth to $8 million in 2025.

+70% revenue growth to $2.5 million in Q1 2026.

Approximate reduction of $6.0 million in annual operating expenses.

Several large IDN (Integrated Health Network) multi-year contracts that were signed throughout 2025 are continuing to roll out, build revenue and add more telehealth services.

VSEE Completes Strategic Separation of VSee Lab, Retires Approximately 7% of Outstanding Shares, and Transitions to Single CEO Leadership

On June 11th VSEE announced the completion of a transformative strategic transaction that separates the Company from its former laboratory subsidiary, VSee Lab, eliminates a significant block of outstanding shares, and positions VSEE to focus exclusively on its core telehealth and digital health platform businesses.

Under a Stock Purchase Agreement dated May 31, 2026, VSEE sold 100% of VSee Lab, Inc. to former Co-Chief Executive Officer and Chairman Milton Chen. In connection with the transaction, Mr. Chen transferred all 2,870,069 shares of VSEE common stock owned by him back to the Company and assumed responsibility for the remaining liabilities of VSee Lab following closing. The returned shares represent approximately 7% of VSEE outstanding common stock and are expected to significantly improve shareholder alignment while simplifying the Company's capital structure.
